Made for Sierra Lift, a sample company. Sierra Lift is not a real company.
Before you call a lawyer about an operating agreement, an NDA, a teaming or joint venture agreement, a subcontract, a distributor agreement or a technology license, write down your own decisions. You get a summary to take to your lawyer, who writes the agreement. We do not write agreements or give legal advice.
Autonomy Runway is not a law firm, an accounting firm or a financial adviser, and nothing we publish is legal, tax or financial advice. The guides are general information with links to the official sources, and the tools organize your own facts and decisions. For advice about your situation, talk to a lawyer, an accountant or a financial adviser. See all our disclaimers.
Write down your own business decisions for this agreement. Each group of questions saves on its own, and any question can stay “Not decided yet”: the summary lists those for your lawyer. Your lawyer writes the agreement; this page never does.
What this agreement is: teaming agreement
A teaming agreement sets out how companies work together on a bid: who is the prime, who is the subcontractor, who does what on the proposal, and what each expects if the bid wins.
Rules you will hear about
On a contract set aside for small businesses, SBA's rules limit how much of the work the prime passes to subcontractors that are not similarly situated (13 CFR 125.6, at ecfr.gov/current/title-13/section-125.6). Your lawyer applies them to your agreement.

County fire mapping airframes, solicitation number to come, due in December
We are a subcontractor
We build and deliver the airframes and train the crews; Delta integrates the sensors and runs the program. We expect about a third of the contract value.
We write the airframe and training sections and price our own work; each company pays its own proposal costs.
The agreement ends if the county cancels the solicitation, awards it to another team, or 12 months pass without an award.
Our layup schedules and the arm joint's drawings stay ours. We sign a mutual non-disclosure agreement before either side shares drawings.
What you get
A decision summary in Word (.docx) and PDF, for your lawyer, who writes the agreement.
